TERMS OF USE AGREEMENT


DEFINITIONS

The user of this website and its related services is referred to as “You.” You have the right to use this website granted, you respect the applicable Terms of Use outlined below.  Menabec.com the website (“Site”) is owned and operated by Menabec group, LLC (“Menabec”). “We” and “Us” as used in this Terms of Use Agreement means Menabec or any successor, Subsidiary, Division or assign of Menabec group.

ELIGIBILITY:

To visit or use this Site in any manner, you must be 18 years of age or older. Upon visiting the Site or acceptance of these Terms of Use, you represent and warrant to Menabec that you are 18 years of age or older and that you are capable and authorized to agree and abide by the Agreement. You also agree to Menabec that the Site will be used in a manner that is consistent with the laws and regulations.

USE OF THE SITE AND SERVICES:

You are accountable for your use of the Site and Services. You are also accountable for any use of the Site or Services made using your account. Our goal at Menabec is to provide a safe and positive experience to our customers, users and the general public using the Site. We would like to accomplish this goal by prohibiting any harmful acts that may affect our customers, users or the general public. When using this Site or its Services you may not:

1.  Harm another individual, harass or stalk them.

2.  Violate anyone’s property, privacy, publicity, or any other legal rights.

3.  Language, racist or any other acts that may violate another person’s rights.

4.  Collect other users email addresses or other information.

5.  Send out anything that is illegal, harmful to anyone’s reputation, pornographic, harass, obscene or ofensive.

6.  Contact anyone for advertising that is illicit such as spam.

7.  Send out requests using automated methods of any kind that may interfere with our site and servers .

8.  Break any law or regulation.

9.  Post duplicate listings.

THIRD PARTY INTERACTIONS:

You are responsible for all your interactions with third parties using our Site or Services which includes payment or any other goods or services and warranties. You should conduct your own research before proceeding with any offline or online transaction with a third party.  Menabec will not be responsible for any loss or damage of any type resulting from any on or off line transaction.  Menabec will not monitor any transactions between you and the third party and it will be your responsibility to proceed with caution and common sense with any on or off line transactions. In an event of a disagreement, Menabec has no obligation to get involved and you release Menabec, its officers and employees from any damages, claims or demands.

FEES FOR LISTING:

Most listings on the Site are free. Fees may be charged for certain listings, listing upgrades or other services. You will be notified of any fees associated with a listing before any payment information is required. All fees are non-refundable even if the services or listings are suspended or canceled prior to the ending date or time. These suspensions include your own cancellations or any cancellations or suspensions made by Menabec due to the violations of the Terms of Service or violation of its Privacy Policy.

USER CONTENT:

You are the sole owner of the content posted by you on the Site, which includes posting or sharing classified advertisements, photos, your profile information any audio or video clips and user reviews. You grant permission to Menabec and its affiliates a license to use, copy and display your user content in connection with the Site or Services.  Menabec reserves the right to show advertisements in connections with your user content or on web pages where your content is seen by others or yourself. We may also use the content to advertise and promote Menabec.com website. Our rights to use your content is paid in full and royalty free which means that we will not pay you anything. Our license is not for a limited amount of time and will last forever.

YOU PLEDGE THAT:

  1. The user content owned by you has all of its fees paid in full.

  2. The user content is owned by you and you give the right to Menabec as stated above.

  3. The user content owned by you does not violate privacy rights, publicity rights or any other legal rights of any other party

PROPRIETY INFORMATION:

Menabec owns the user content and own or license the content on our website. This includes all items on the Site such as text, visual audio or video content.  Menabec also owns or has a license for its brand elements, trademarks or logos.

COMMENTS:

We would be delighted to have your comments, feedback or any suggestions you may have that may improve our Site and your experience on our Site. We may not always be able to respond to feedback and you agree that we may use your feedback without contacting you and without any payment to you.

MAKING CLAIMS OF COPYRIGHT INFRINGEMENT

In the event that a person believes that Menabec contains any material or content that violates copyright infringement, please provide Menabec with the following:

1.  Authorized person's (acting on behalf of the copyright interest owner) electronic or physical signature.

2.  Copyrighted work's description that the person reporting claims to have been infringe and where the material that is infringing is located on our website.

3.  Reporting person's address, telephone number and email address.

4.  Written statement from the person reporting copyright infringement that the person reporting have faith belief that the disputed use is by the copyright owner, its agent, or the law is not authorized.

5.  A statement made under penalty of perjury by the person reporting, that the information contained in the reporting person's notice is accurate and that the person reporting is the copyright owner or authorized to act on the copyright owner's behalf.

Your privacy is important to us. Please read our privacy policy to understand how we protect your privacy, collect information and provide your information to other parties.

LINKS TO OTHER WEBSITES:

Our website contains links to other websites and allows other users to post a link to their own website on their own listing which you can click on. These links will directly take you off of our website and on to another. We do not always endorse third party links and do not guarantee its content.  Menabec is not responsible for any damage or loss related to or caused by a third party website.

RIGHT TO USE:

The Member's right to use the Service is subject to limitations, conditions and restrictions established by Menabec's sole discretion. We may at any time do alterations, suspensions or stop any Service such as the Service feature, content and/or database. Additionally, may limit certain Service aspects and features or impose restrictions to the Member's access to a portion or all parts of the Service without notice, liability or reason.

TERMINATION OF ACCESS TO SERVICE:

Your right to use the site and services may be eliminated at anytime with or without a notice. In an event of a violation of our terms of service or our privacy policy we have the right to terminate your account or any other use of our site and services.  Menabec may also refer you who committed such violation of Agreement or illegal activity to the law enforcement.

LIMITATIONS AND DISCLAIMER ON OUR LIABILITY:

You understand that the use of our Site and Services are used at your own risk. The site is provided to you “as is”. As permitted by law, Menabec, its employees, members or partners do not disclaim any warranties of any type. 

Menabec does not warranty the accuracy, information, safety, security or the type of content that is seen on the Site or any links that take you to another site.  menabec will not be liable for any mistakes and errors on the Site, any access that is unauthorized, injury to yourself or any property damage from your use of our Site or Services. We will not be liable for any interruption of service through our Site or Services. We are not liable for any viruses, Trojan horses, etc that may be passed to you through our Site by any third party. We are not liable for any damage or loss of any kind that occurs by your use of our Site and Services.  

Menabec does not guarantee, warrant or support and is not responsible for any items published on our Site by any third parties or any linked sites.

You understand that anything downloaded from our Site on to yours is at your own risk, and you are the only person responsible for any damage caused by this action. No warranties either written or oral are made by Menabec unless stated in the Terms of Service. 

Menabec shall not be held liable where permitted by law for any loss of revenues, damage, profits or data occurring from the use of the Site and Services in all cases including the parties that were notified or should have known of any such damages.

The limitation of liability may be limited by some jurisdictions so the provisions of this section may not apply to you. In spite of the previous, under no circumstances shall Menabec's liability exceed the sum of Bs.100.00.

INDEMNIFICATION:

Upon using the Site and Services you agree to hold menabec undamaging from any claims, that result in damage, loss, cost or fees of any kind including any court costs resulting from the use of our feedback system or any other content that is submitted by you or anyone using your account either with or without your permission.

NO RESPONSIBILITY:

You agree that Menabec is not responsible for any cause of interruption or loss of the Service regardless of the cause. We will not be held responsible for any malfunction or disruption in services beyond our control.

CHANGES TO THE TERMS:

The right to change or modify the terms and conditions at any time is reserved by Menabec. Upon notification which may be through email or by posting a revised agreement on this website which is accessible to you at any time by clicking on the link of Terms of Use, the changes will become effective. Your continued use of Firefly's services after being notified of such changes shall be deemed as an acceptance of any changes, additions, deletions, modifications. To be aware of any revisions, the Member agrees to review this Agreement periodically.
